Welcome to the Terms of Service of EducAI Inc. ("EducAI", "we", "us", or "our"), a federally incorporated Canadian business entity (Incorporation Date: June 5, 2026). EducAI provides a privacy-first AI learning platform tailored for higher education. By accessing or using our services, you (as a student, faculty member, or institutional administrator) agree to be bound by these Terms of Service.

Please read these terms carefully. They outline the strict boundaries of our technology, emphasize our role as a supplemental resource, and safeguard institutional intellectual property under Canadian law.

1. Supplemental Learning Disclaimer

EducAI is designed to be an interactive study companion, serving to assist students in absorbing course contents and organizing study routines. It is subject to the following pedagogical boundaries:

  • Supplemental Nature: EducAI is strictly a supplemental learning tool. It is driven entirely by the specific syllabus, textbook references, lecture transcripts, and other academic assets provided by your institution’s faculty.
  • No Replacement of Faculty: EducAI does NOT replace, substitute, or stand in for direct faculty instruction, lectures, office hours, or official university teaching assistants. Faculty members remain the primary, authoritative source of all course knowledge, instruction, and academic guidance.
  • No Grading Authority: EducAI has zero authority over student assessment, grading, or academic performance reviews. All grading, evaluations, credit awards, and academic decisions are made strictly by human faculty members and university administrators.

2. Academic Integrity & Responsible Use

EducAI is built to support learning, not to facilitate academic dishonesty. By using the platform, users agree to the following standards:

  • Grounded Responses: Our system utilizes Retrieval-Augmented Generation (RAG) to keep answers strictly grounded in the approved course materials. However, students are expected to critically evaluate all generated responses and cross-reference them with core materials.
  • Plagiarism and Cheating: Students must use EducAI solely in compliance with their respective university's Student Code of Conduct and Academic Integrity policies. Using the platform to generate answers for live, graded exams, assignments, or quizzes without explicit faculty authorization is strictly prohibited.
  • Prohibited Actions: Users must not upload malicious code, attempt to bypass system guardrails, extract system prompting instructions (prompt injection), or reverse engineer local container architectures.

3. Intellectual Property & Academic Assets

We respect the intellectual property of educators and universities. Our IP structure is defined as follows:

  • University / Faculty Ownership: All academic materials uploaded to the EducAI platform—including lecture recordings, lecture slides, notes, syllabi, exam guides, and papers—remain the exclusive intellectual property of the respective faculty members, course authors, or the licensing university. EducAI claims zero ownership rights over uploaded assets.
  • EducAI Ownership: The EducAI platform, including our local RAG pipelines, user interface, proprietary algorithms, logo, styling, and system source code, is the exclusive property of EducAI Inc.
  • Usage License: EducAI grants users a limited, non-exclusive, non-transferable, and revocable license to access the platform for personal, non-commercial, academic study purposes during the active licensing term of the course.

4. Data Security & Storage Boundaries

In accordance with our commitment to Canadian data sovereignty:

  • All study interactions, course vector files, and metadata are processed and stored exclusively on the local institution's secure local storage.
  • Data handling is strictly managed in accordance with our Privacy Policy and the institution's master licensing agreement.

5. Limitation of Liability & Disclaimers

EducAI provides its services "as is" and "as available." To the maximum extent permitted under Canadian law, EducAI Inc. explicitly disclaims all warranties, express or implied, including the warranties of accuracy, completeness, or fitness for a particular educational purpose. We are not liable for any academic setbacks, lost grades, system downtime, or indirect damages arising out of your reliance on platform outputs.
